IMPORTANT: Please read these Terms of Use carefully before using the Birdnee service. By clicking "Agree" or by using the Birdnee application and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our services.
These Terms of Use ("Terms") constitute a legally binding agreement between you and CONICO (HK) TECHNOLOGY CO., LIMITED ("Conico," "we," "us," or "our"). These Terms govern your use of the Birdnee mobile application, camera devices, cloud storage services, and related services (collectively, the "Services").
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the Birdnee application. Your continued use of the Services after such changes constitutes your acceptance of the updated Terms.
1.1 "Services" refers to the Birdnee mobile application, camera devices, cloud storage services, video recording and playback features, PIR (Passive Infrared) motion detection and push notifications, subscription services, and all related features and functionalities provided by Conico.
1.2 "User," "you," or "your" refers to any individual or entity that creates a Birdnee account or uses the Services.
1.3 "Device" refers to the Birdnee camera hardware device.
1.4 "Content" refers to all video recordings, images, data, and information generated, uploaded, or stored through the Services.
2.1 Birdnee provides smart bird monitoring solutions that enable you to:

3.1 Account Creation: To use the Services, you must create a Birdnee account by providing accurate and complete information, including a valid email address.
3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials. You agree to:
3.3 Age Requirement: You must be at least 18 years old or the age of majority in your jurisdiction to use the Services. If you are under 18, you may only use the Services with the involvement and consent of a parent or legal guardian.

4.2 Consequences of Violation: We reserve the right to suspend or terminate your account and access to the Services if you violate these Terms. We may also report illegal activities to law enforcement authorities.
5.1 Subscription Plans: Birdnee offers premium cloud storage subscription plans with various storage capacities and durations (monthly and annual plans). Subscription details, pricing, and features are described in the app and on our website.
5.2 Payment: By subscribing to a paid plan, you authorize us to charge your chosen payment method (in-app purchase through Apple App Store, Google Play Store, or third-party payment processors). You agree to provide accurate payment information and to keep it up to date.
5.3 Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription price. See our Auto-Renewal Agreement for more details.
5.4 Cancellation: You may cancel your subscription at any time through your account settings or the respective app store. Cancellation will take effect at the end of the current billing period. No refunds will be provided for partial subscription periods.
5.5 Price Changes: We reserve the right to change subscription prices at any time. We will notify you of price changes in advance. Your continued use of the subscription service after the price change constitutes acceptance of the new price.
6.1 Your Content: You retain all ownership rights to the video recordings, images, and data you generate through the Services ("Your Content"). By using the Services, you grant us a limited license to store, process, and transmit Your Content solely for the purpose of providing the Services to you.
6.2 Responsibility for Content: You are solely responsible for Your Content and for ensuring that it complies with all applicable laws. You represent and warrant that you have all necessary rights to Your Content and that it does not violate any third-party rights.
6.3 Data Backup: While we implement reasonable measures to protect your data, you are responsible for maintaining backup copies of Your Content. We are not responsible for any loss or corruption of Your Content.
6.4 Storage Limits: Cloud storage capacity and retention periods are determined by your subscription plan. Content may be automatically deleted after the retention period expires or if storage limits are exceeded.
7.1 Our Property: The Birdnee application, devices, Services, and all related technology, software, trademarks, logos, and content (excluding Your Content) are owned by Conico and are protected by intellectual property laws.
7.2 Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes in accordance with these Terms. You may not:
8.1 Your privacy is important to us. Our Privacy Policy explains how we collect, use, store, and protect your personal information. By using the Services, you also agree to our Privacy Policy, which is incorporated into these Terms by reference.
8.2 We comply with applicable data protection laws, including the EU General Data Protection Regulation (GDPR), California Consumer Privacy Act (CCPA), and other relevant regulations.
9.1 The Services may integrate with or contain links to third-party services, websites, or content. We are not responsible for the availability, accuracy, or content of third-party services. Your use of third-party services is subject to their respective terms and privacy policies.
9.2 Payment processing for subscriptions may be handled by third-party payment processors (Apple App Store, Google Play Store, etc.). Your payment information is subject to the respective processor's terms and privacy policy.
10.1 SERVICE PROVIDED "AS IS": THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10.2 No Guarantee of Availability: We do not guarantee that the Services will be uninterrupted, secure, or error-free. The Services may be affected by factors beyond our reasonable control, including internet connectivity issues, hardware failures, natural disasters, and third-party service disruptions.
10.3 Wildlife Monitoring Disclaimer: The Birdnee device is designed for bird watching and wildlife observation purposes. We make no guarantees regarding the accuracy, completeness, or reliability of motion detection, video quality, or wildlife identification. You acknowledge that wildlife behavior is unpredictable and that the device may not capture all events.
10.4 LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONICO AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.5 IN NO EVENT SHALL CONICO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE AMOUNT YOU PAID TO CONICO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10.6 Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
11.1 You agree to indemnify, defend, and hold harmless Conico and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
12.1 Term: These Terms remain in effect while you use the Services.
12.2 Termination by You: You may terminate your account at any time by contacting us at support@birdnee.com or through the app settings.
12.3 Termination by Us: We may suspend or terminate your account and access to the Services at any time, with or without notice, if:
12.4 Effect of Termination: Upon termination, your right to use the Services will immediately cease. We may delete Your Content and account data in accordance with our data retention policies. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, limitations of liability, and dispute resolution provisions.
13.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region, without regard to its conflict of law provisions.
13.2 Jurisdiction: For users in the European Union, any disputes shall be subject to the exclusive jurisdiction of the courts of your country of residence. For users in the United States, disputes shall be subject to the jurisdiction of the courts in Hong Kong Special Administrative Region or your local jurisdiction as applicable. For all other users, disputes shall be subject to the jurisdiction of the courts in Hong Kong Special Administrative Region.
13.3 Informal Resolution: Before filing a claim, you agree to contact us at support@birdnee.com to attempt to resolve the dispute informally.
14.1 We reserve the right to modify these Terms at any time. We will provide notice of material changes by:
14.2 Material changes will take effect after notification. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services and may terminate your account.
15.1 Entire Agreement: These Terms, together with our Privacy Policy and Auto-Renewal Agreement, constitute the entire agreement between you and Conico regarding the Services and supersede all prior agreements and understandings.
15.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
15.3 Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
15.4 Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

5.5 价格变更：我们保留随时更改订阅价格的权利。我们将提前通知您价格变更。价格变更后您继续使用订阅服务即表示接受新价格。
6.1 您的内容：您保留通过服务生成的视频录像、图像和数据（"您的内容"）的所有所有权。使用服务即表示您授予我们有限许可，仅为向您提供服务而存储、处理和传输您的内容。
6.2 内容责任：您对您的内容及确保其符合所有适用法律负全部责任。您声明并保证您拥有您的内容的所有必要权利，并且该内容不侵犯任何第三方权利。

10.3 野生动物监控免责声明：Birdnee设备设计用于观鸟和野生动物观察目的。我们不保证运动检测、视频质量或野生动物识别的准确性、完整性或可靠性。您承认野生动物行为不可预测，设备可能无法捕捉所有事件。
10.4 责任限制：在法律允许的最大范围内，CONICO及其关联公司、董事、员工和代理人不对任何间接、附带、特殊、后果性或惩罚性损害承担责任，包括但不限于数据丢失、利润损失或使用损失，即使我们已被告知可能发生此类损害。
10.5 在任何情况下，CONICO对您因与服务相关的所有索赔的总责任不超过您在索赔前十二（12）个月内支付给CONICO的金额。
10.6 某些司法管辖区不允许排除或限制某些保证或责任。在这些司法管辖区，我们的责任将在法律允许的最大范围内受到限制。
11.1 您同意赔偿、辩护并使Conico及其关联公司、董事、高级管理人员、员工和代理人免受因以下原因引起的或与之相关的任何索赔、责任、损害、损失、成本或费用（包括合理的律师费）：

1.4 "Inhalt" bezieht sich auf alle Videoaufnahmen, Bilder, Daten und Informationen, die über die Services generiert, hochgeladen oder gespeichert werden.
2.1 Birdnee bietet intelligente Vogelüberwachungslösungen, die es Ihnen ermöglichen:

3.1 Kontoerstellung: Um die Services zu nutzen, müssen Sie ein Birdnee-Konto erstellen, indem Sie genaue und vollständige Informationen angeben, einschließlich einer gültigen E-Mail-Adresse.
3.2 Kontosicherheit: Sie sind dafür verantwortlich, die Vertraulichkeit Ihrer Kontoanmeldedaten zu wahren. Sie stimmen zu:

5.1 Abonnementpläne: Birdnee bietet Premium-Cloud-Speicher-Abonnementpläne mit verschiedenen Speicherkapazitäten und -dauern (monatliche und jährliche Pläne). Abonnementdetails, Preise und Funktionen werden in der App und auf unserer Website beschrieben.
5.2 Zahlung: Durch das Abonnieren eines kostenpflichtigen Plans autorisieren Sie uns, Ihre gewählte Zahlungsmethode zu belasten (In-App-Kauf über Apple App Store, Google Play Store oder Drittanbieter-Zahlungsabwickler). Sie stimmen zu, genaue Zahlungsinformationen bereitzustellen und diese auf dem neuesten Stand zu halten.
5.3 Automatische Verlängerung: Abonnements verlängern sich automatisch am Ende jedes Abrechnungszeitraums, es sei denn, Sie kündigen vor dem Verlängerungsdatum. Ihnen wird der dann aktuelle Abonnementpreis berechnet. Weitere Details finden Sie in unserer Auto-Verlängerungsvereinbarung.
5.4 Kündigung: Sie können Ihr Abonnement jederzeit über Ihre Kontoeinstellungen oder den jeweiligen App Store kündigen. Die Kündigung wird am Ende des aktuellen Abrechnungszeitraums wirksam. Für Teilabonnementperioden werden keine Rückerstattungen gewährt.
5.5 Preisänderungen: Wir behalten uns das Recht vor, Abonnementpreise jederzeit zu ändern. Wir werden Sie über Preisänderungen im Voraus informieren. Ihre fortgesetzte Nutzung des Abonnementdienstes nach der Preisänderung stellt die Annahme des neuen Preises dar.
6.1 Ihr Inhalt: Sie behalten alle Eigentumsrechte an den Videoaufnahmen, Bildern und Daten, die Sie über die Services generieren ("Ihr Inhalt"). Durch die Nutzung der Services gewähren Sie uns eine beschränkte Lizenz, Ihren Inhalt ausschließlich zum Zweck der Bereitstellung der Services für Sie zu speichern, zu verarbeiten und zu übertragen.
6.2 Verantwortung für Inhalt: Sie sind allein verantwortlich für Ihren Inhalt und dafür, dass er allen geltenden Gesetzen entspricht. Sie erklären und garantieren, dass Sie alle notwendigen Rechte an Ihrem Inhalt haben und dass er keine Rechte Dritter verletzt.
6.3 Datensicherung: Während wir angemessene Maßnahmen zum Schutz Ihrer Daten implementieren, sind Sie dafür verantwortlich, Sicherungskopien Ihres Inhalts zu führen. Wir sind nicht verantwortlich für Verlust oder Beschädigung Ihres Inhalts.
6.4 Speichergrenzen: Die Cloud-Speicherkapazität und Aufbewahrungsfristen werden durch Ihren Abonnementplan bestimmt. Inhalte können automatisch gelöscht werden, nachdem die Aufbewahrungsfrist abgelaufen ist oder wenn Speichergrenzen überschritten werden.
7.1 Unser Eigentum: Die Birdnee-Anwendung, Geräte, Services und alle damit verbundenen Technologien, Software, Marken, Logos und Inhalte (außer Ihrem Inhalt) sind Eigentum von Conico und durch Gesetze zum geistigen Eigentum geschützt.
7.2 Beschränkte Lizenz: Wir gewähren Ihnen eine beschränkte, nicht ausschließliche, nicht übertragbare, widerrufliche Lizenz zur Nutzung der Services für persönliche, nicht kommerzielle Zwecke gemäß diesen Bedingungen. Sie dürfen nicht:

5.2 Paiement : En vous abonnant à un forfait payant, vous nous autorisez à débiter votre mode de paiement choisi (achat intégré via Apple App Store, Google Play Store ou processeurs de paiement tiers). Vous acceptez de fournir des informations de paiement exactes et de les maintenir à jour.
5.3 Renouvellement automatique : Les abonnements se renouvellent automatiquement à la fin de chaque période de facturation, sauf si vous annulez avant la date de renouvellement. Vous serez facturé au prix d'abonnement en vigueur à ce moment-là. Consultez notre Accord de renouvellement automatique pour plus de détails.
5.4 Annulation : Vous pouvez annuler votre abonnement à tout moment via les paramètres de votre compte ou la boutique d'applications respective. L'annulation prendra effet à la fin de la période de facturation actuelle. Aucun remboursement ne sera fourni pour les périodes d'abonnement partielles.

3.3 年齢要件：サービスをご利用になるには、18歳以上またはお客様の管轄区域における成年年齢に達している必要があります。18歳未満の場合、親または法定後見人の参加と同意を得てのみサービスを使用できます。
4.1 お客様は、以下の目的でサービスを使用しないことに同意します：

5.2 支払い：有料プランにサブスクリプションすることにより、お客様は選択した支払い方法(Apple App Store、Google Playストア、または第三者支払い処理業者を通じたアプリ内購入)への請求を当社に承認します。正確な支払い情報を提供し、最新の状態に保つことに同意します。
5.3 自動更新：サブスクリプションは、更新日前にキャンセルしない限り、各請求期間の終了時に自動的に更新されます。その時点での現在のサブスクリプション価格が請求されます。詳細については、当社の自動更新契約をご覧ください。
5.4 キャンセル：お客様は、アカウント設定または対応するアプリストアを通じて、いつでもサブスクリプションをキャンセルできます。キャンセルは現在の請求期間の終了時に有効になります。部分的なサブスクリプション期間に対する返金は提供されません。
5.5 価格変更：当社は、いつでもサブスクリプション価格を変更する権利を留保します。価格変更については事前に通知します。価格変更後のサブスクリプションサービスの継続的な使用は、新しい価格の受諾を構成します。
6.1 お客様のコンテンツ：お客様は、サービスを通じて生成するビデオ録画、画像、データ(「お客様のコンテンツ」)に対するすべての所有権を保持します。サービスを使用することにより、お客様は当社に、サービスを提供する目的でのみ、お客様のコンテンツを保存、処理、送信するための限定ライセンスを付与します。
6.2 コンテンツの責任：お客様は、お客様のコンテンツに対して単独で責任を負い、すべての適用される法律に準拠していることを保証する責任があります。お客様は、お客様のコンテンツに対するすべての必要な権利を有し、第三者の権利を侵害しないことを表明し、保証します。
6.3 データバックアップ：当社はお客様のデータを保護するための合理的な措置を実装していますが、お客様はお客様のコンテンツのバックアップコピーを維持する責任があります。当社は、お客様のコンテンツの損失または破損について責任を負いません。
6.4 ストレージ制限：クラウドストレージ容量と保持期間は、お客様のサブスクリプションプランによって決定されます。保持期間が満了した後、またはストレージ制限を超えた場合、コンテンツは自動的に削除される場合があります。
7.1 当社の財産：Birdneeアプリケーション、デバイス、サービス、およびすべての関連技術、ソフトウェア、商標、ロゴ、コンテンツ(お客様のコンテンツを除く)は、Conicoの所有物であり、知的財産法によって保護されています。
7.2 限定ライセンス：当社は、本規約に従って、個人的、非商業的目的でサービスを使用するための限定、非独占、非譲渡、取消可能なライセンスを付与します。お客様は以下を行うことはできません：
8.1お客様のプライバシーは当社にとって重要です。当社のプライバシーポリシーは、当社がお客様の個人情報をどのように収集、使用、保存、保護するかを説明しています。サービスを使用することにより、お客様は、参照により本規約に組み込まれる当社のプライバシーポリシーにも同意します。
8.2当社は、EU一般データ保護規則(GDPR)、カリフォルニア消費者プライバシー法(CCPA)、およびその他の関連規制を含む、適用されるデータ保護法を遵守しています。
9.1サービスは、第三者サービス、ウェブサイト、またはコンテンツと統合されるか、それらへのリンクを含む場合があります。当社は、第三者サービスの可用性、正確性、またはコンテンツについて責任を負いません。お客様の第三者サービスの使用は、それぞれの条件およびプライバシーポリシーに従います。
9.2サブスクリプションの支払い処理は、第三者支払い処理業者(Apple App Store、Google Playストアなど)によって処理される場合があります。お客様の支払い情報は、それぞれの処理業者の条件およびプライバシーポリシーに従います。
10.1 「現状のまま」提供されるサービス：サービスは、「現状のまま」および「利用可能な状態で」、明示的または黙示的を問わず、いかなる種類の保証もなく提供されます。これには、商品性、特定目的への適合性、または非侵害の保証が含まれますが、これらに限定されません。
10.2 可用性の保証なし：当社は、サービスが中断されない、安全である、またはエラーがないことを保証しません。サービスは、インターネット接続の問題、ハードウェアの故障、自然災害、第三者サービスの中断など、当社の合理的な制御を超えた要因によって影響を受ける場合があります。
10.3 野生動物監視の免責事項：Birdneeデバイスは、バードウォッチングおよび野生動物観察の目的で設計されています。当社は、モーション検知、ビデオ品質、または野生動物識別の正確性、完全性、または信頼性について保証を提供しません。お客様は、野生動物の行動は予測不可能であり、デバイスがすべてのイベントをキャプチャしない場合があることを認めます。
10.4 責任の制限：法律で認められる最大限の範囲において、CONICOおよびその関連会社、取締役、従業員、代理人は、お客様のサービスの使用から生じる、またはそれに関連する、データの損失、利益の損失、または使用の損失を含むがこれらに限定されない、間接的、偶発的、特別、結果的、または懲罰的損害について責任を負いません。当社がそのような損害の可能性について通知されていた場合でも同様です。
10.5いかなる場合においても、サービスに関連するすべての請求に対するお客様へのCONICOの総責任は、請求前の12か月間にCONICOに支払った金額を超えることはありません。
10.6一部の管轄区域では、特定の保証または責任の除外または制限が許可されていません。そのような管轄区域では、当社の責任は法律で認められる最大限の範囲に制限されます。
11.1お客様は、以下から生じる、またはそれに関連する、すべての請求、責任、損害、損失、費用、または支出(合理的な弁護士費用を含む)から、Conicoおよびその関連会社、取締役、役員、従業員、代理人を補償、防御、および免責することに同意します：
12.1 期間：本規約は、お客様がサービスを使用している間有効です。
12.2 お客様による終了：お客様は、support@birdnee.comに連絡するか、アプリ設定を通じて、いつでもアカウントを終了できます。
12.3 当社による終了：当社は、以下の場合、事前通知の有無にかかわらず、いつでもお客様のアカウントおよびサービスへのアクセスを一時停止または終了する場合があります：
12.4 終了の効果：終了時、お客様のサービスを使用する権利は即座に停止します。当社は、データ保持ポリシーに従って、お客様のコンテンツおよびアカウントデータを削除する場合があります。その性質上、終了後も存続すべき本規約のセクションは存続し、これには、知的財産権、免責事項、責任の制限、および紛争解決条項が含まれますが、これらに限定されません。
13.1 準拠法：本規約は、法の抵触に関する規定を考慮せずに、香港特別行政区の法律に準拠し、これに従って解釈されます。
13.2 管轄：欧州連合のユーザーの場合、すべての紛争はお客様の居住国の裁判所の専属管轄に服します。米国のユーザーの場合、紛争は、香港特別行政区、または該当する場合、お客様の現地管轄区域の裁判所の管轄に服します。その他のすべてのユーザーの場合、紛争は香港特別行政区の裁判所の管轄に服します。
13.3 非公式解決：請求を提出する前に、お客様は、support@birdnee.comに連絡して、紛争を非公式に解決しようとすることに同意します。
14.1当社は、いつでも本規約を変更する権利を留保します。重要な変更については、以下により通知します：
14.2重要な変更は、通知後に発効します。発効日以降のサービスの継続的な使用は、更新された規約の受諾を構成します。変更に同意しない場合は、サービスの使用を停止し、アカウントを終了する必要があります。
15.1 完全な合意：本規約は、当社のプライバシーポリシーおよび自動更新契約とともに、サービスに関するお客様とConicoの間の完全な合意を構成し、以前のすべての合意および理解に優先します。
15.2 分離可能性：本規約のいずれかの条項が無効または執行不能と判断された場合、残りの条項は完全に有効であり続けます。
15.3 放棄：当社が本規約のいずれかの権利または条項を執行しないことは、そのような権利または条項の放棄を構成しません。
15.4 譲渡：お客様は、当社の事前の書面による同意なしに、本規約または本規約に基づくお客様の権利を譲渡または移転することはできません。当社は制限なく本規約を譲渡できます。
